Welcome to AspireInteractiveZone. These Terms and Conditions ("Terms") govern your use of our screen recording software and related services (collectively, the "Software" or "Services"). By installing, accessing, or using our Software, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Software.

1. Acceptance of Terms

By creating an account, downloading, installing, or using AspireInteractiveZone software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. License Grant

AspireInteractiveZone grants you a limited, non-exclusive, non-transferable, revocable license to use the Software according to your purchased plan, subject to these Terms. Your license is valid only for the term specified in your plan (e.g., one-time purchase, annual subscription).

3. License Types and Restrictions

License Types:

• Personal License: For individual use only, limited to installation on one primary device with one secondary device for personal use
• Team License: For use by specified number of users within the same organization, includes collaboration features
• Enterprise License: For organizational use with custom deployment options and volume licensing

Usage Restrictions: You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party
• Use the Software for any unlawful purposes or to record content without proper authorization
• Bypass, disable, or circumvent any security or technical features of the Software
• Use the Software to create, distribute, or share content that violates third-party rights or applicable laws
• Use automated systems (bots, scrapers, etc.) to access the Software except through official APIs
• Exceed the usage limits specified in your plan (e.g., storage limits, user counts)

4. Account Registration and Security

To use certain features of the Software, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. User Content and Responsibilities

Content Ownership: You retain all rights to the screen recordings, audio, and other content you create using our Software ("User Content").

Your Responsibilities: You are solely responsible for:

• Ensuring you have proper authorization to record any content, including compliance with applicable privacy laws and regulations
• Obtaining necessary consents when recording third-party content or individuals
• Ensuring your User Content does not infringe upon intellectual property rights, privacy rights, or violate any laws
• Properly labeling content that contains sensitive or confidential information

Content Guidelines: You agree not to create, upload, or share content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
• Contains malware, viruses, or other harmful code
• Violates any applicable laws or regulations regarding data protection and privacy

6. Intellectual Property Rights

All rights, title, and interest in the Software, including all intellectual property rights (copyrights, trademarks, patents, trade secrets), remain exclusively with AspireInteractiveZone and its licensors. The Software is licensed, not sold. Our trademarks, logos, and service marks are our property and may not be used without our prior written consent.

7. Payment Terms

Fees: You agree to pay all fees associated with your selected plan. Fees are non-refundable except as specified in our Refund Policy.

Renewals: Subscription plans automatically renew unless canceled before the renewal date. You authorize us to charge your payment method for renewal fees.

Taxes: You are responsible for all applicable taxes associated with your purchase.

Price Changes: We reserve the right to change prices with 30 days' notice. Your continued use after price changes constitutes acceptance of the new prices.

8. Updates and Support

Updates: Your license includes updates and new versions released during your active subscription term. One-time purchases include updates for a specified period (typically 12-24 months depending on plan).

Support: Technical support is provided according to your plan level. Response times and support hours may vary by plan.

9. Third-Party Services and Integrations

The Software may integrate with third-party services (cloud storage, video platforms, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the operation or content of third-party services.

10. Termination

By You: You may terminate your account at any time by contacting support or using account termination features in the Software.

By Us: We may suspend or terminate your license immediately if:

• You violate these Terms
• You fail to pay applicable fees
• Required by law or legal process
• You engage in fraudulent or illegal activities

Effect of Termination: Upon termination, your license ends immediately, and you must:

• Cease all use of the Software
• Uninstall and delete all copies of the Software from your devices
• Export your User Content before termination (we may delete stored content after a grace period)

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPIREINTERACTIVEZONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SOFTWARE
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SOFTWARE
• ANY BUGS, VIRUSES, OR MALICIOUS CODE THAT MAY BE TRANSMITTED THROUGH THE SOFTWARE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AspireInteractiveZone and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your User Content or any content you record, share, or distribute using the Software
• Your violation of any third-party rights or applicable laws

14. Privacy and Data Protection

Your use of the Software is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Software, you consent to our data practices as described in the Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Software. Your continued use after such changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Software.

17. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AspireInteractiveZone regarding the Software
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• Waiver: Our failure to enforce any right or provision does not constitute a waiver
• Assignment: You may not assign your rights under these Terms without our prior written consent
